In the event of a conflict between these Terms and a signed agreement, the signed agreement will usually control with respect to that specific engagement.

5. No Guarantee of Results

You understand and agree that:

• SEO, marketing, and advertising results depend on many factors outside our control, including algorithm changes, market conditions, your industry, your website content, and your own actions.
• We do not guarantee specific rankings, traffic levels, lead volume, revenue, or any particular business outcome.
• Any examples of past performance are illustrative only and are not promises or guarantees of future results.

6. User Responsibilities

Provide Accurate Information

• Provide true, accurate, current, and complete information when submitting forms or communicating with us;
• Update your information as needed to keep it accurate and current.

Use the Site Lawfully

• Use the Site and Services only for lawful purposes and in accordance with these Terms;
• Not use the Site or Services to violate any applicable local, state, national, or international law or regulation.

Prohibited Conduct

You agree that you will not, and will not attempt to:

• Access or use the Site or Services in any way that could damage, disable, overburden, or impair them;
• Gain unauthorized access to any systems, networks, or data;
• Interfere with the security or proper functioning of the Site or Services;

8. Fees, Payments, and Refunds

Where Services are provided for a fee:

• Unless otherwise stated in such agreement, all fees are due as specified on your invoice and are non-refundable once services have been rendered or campaigns have been launched.
• You authorize us (and our payment processors) to charge your chosen payment method for all applicable fees.
• We reserve the right to correct errors or mistakes in pricing and billing even if we have already requested or received payment.

9. Intellectual Property

9.1 Site Content

All content on the Site, including text, graphics, logos, icons, images, audio or video clips, software, and other materials (collectively, “Site Content”), is owned by Search Strength SEO or our licensors and is protected by copyright, trademark, and other intellectual property laws.

Except as expressly permitted by these Terms or by us in writing, you may not:

• Copy, reproduce, republish, upload, post, transmit, or distribute any Site Content;
• Modify or create derivative works based on the Site or Site Content;
• Use any trademarks, logos, or service marks displayed on the Site without our prior written consent.

You may view, download, and print Site Content for your own personal, non-commercial use, provided you do not remove any proprietary notices.

9.2 Client Materials

If you provide us with content (text, images, logos, designs, data, etc.) for use in your campaigns or projects (“Client Materials”), you:

• Represent and warrant that you have all necessary rights to use and provide such Client Materials; and
• Grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute those Client Materials solely as necessary to provide the Services to you.

You remain the owner of your Client Materials, subject to the license we need to perform the Services.

10. Third-Party Services and Links

The Site or Services may contain links to third-party websites or services, as well as integrations with platforms such as GoHighLevel or other CRM and marketing tools.

We do not control and are not responsible for the content, policies, or practices of third parties.

Your use of third-party sites and services is at your own risk and subject to their separate terms and policies.

We are not responsible for any loss or damage that may arise from your use of third-party sites or services.

11. Privacy and Data Protection

Your use of the Site and Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including information stored in our CRM and processed through third-party providers such as GoHighLevel.

By using the Site or Services, you consent to our collection and use of your information as described in the Privacy Policy.

12. SMS/Text Messaging and Electronic Communications

By providing your contact information, you agree that we may communicate with you by email, phone, SMS/text message, and other electronic means regarding:

• Marketing messages and offers, where you have provided the necessary consent.

If you opt in to receive SMS/text messages, you expressly consent to receiving automated marketing and informational texts from Search Strength SEO at the phone number you provide. Message frequency may vary. Message and data rates may apply. Reply STOP at any time to opt out; reply HELP for help, or contact us using the information in Section 18.

You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

13. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

We specifically disclaim all implied warranties, including, but not limited to:

14. Limitation of Liability

Exclusion of Certain Damages

In no event will Search Strength SEO, its owners, members, managers, employees, contractors, or agents be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including, without limitation, lost profits, lost revenue, loss of data, or business interruption) arising out of or related to your use of or inability to use the Site or Services, even if we have been advised of the possibility of such damages.

Aggregate Liability Cap

Our total cumulative liability for any and all claims arising out of or related to these Terms or the Site or Services, whether in contract, tort, or otherwise, will not exceed the greater of:

• The total amount you paid us for Services giving rise to the claim during the three (3) months preceding the event giving rise to the claim; or
• One hundred U.S. dollars (US $100).

Some jurisdictions do not allow limitations of liability or exclusion of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Search Strength SEO, LLC and its owners, members, managers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Site or Services;
• Your violation of these Terms or any applicable law or regulation;
• Any content or information you provide to us (including Client Materials);
• Your violation of any third-party right, including any intellectual property, privacy, or publicity right.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

16. Suspension and Termination

We may, in our sole discretion and without prior notice, suspend or terminate your access to the Site or Services, in whole or in part, if we believe:

• You have violated these Terms;
• Your actions create risk or possible legal exposure for us; or
• We are required to do so by law or by a third-party service provider.

Upon termination, your right to use the Site and Services will immediately cease. Sections of these Terms that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will continue to apply.

17. Governing Law and Jurisdiction

These Terms and your use of the Site and Services are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Site or Services will be brought exclusively in the state or federal courts located in or serving Hillsborough County, Florida, and you hereby consent to the personal jurisdiction and venue of such courts.

18. Dispute Resolution (Optional Informal Process)

Before initiating any formal legal action, you agree to first contact us at searchstrengthseo@gmail.com and provide a brief written description of the dispute and your contact information. You and Search Strength SEO agree to make good faith efforts to resolve the dispute informally within thirty (30) days.

If the dispute is not resolved within that period, either party may pursue available legal or equitable remedies, subject to the terms and limitations set forth in these Terms.

19. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any separate written agreement or statement of work you enter into with us, constitute the entire agreement between you and Search Strength SEO regarding the Site and Services.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Headings: Section headings are for convenience only and have no legal or contractual effect.
